Welcome to Qutbi Industrial Equipments ("we", "us", "our"). We are a B2B supplier of industrial products based in Bangalore, Karnataka, India.

These Terms and Conditions ("Terms") govern your access to and use of our website qutbi.com ("Website") and any purchases made through us. By accessing our Website or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our Website or services.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of our Website or services after any changes constitutes acceptance of the revised Terms.

2. Eligibility & Registration

Our products and services are intended exclusively for business-to-business (B2B) transactions.

To place an order with us, you must:

• Be a registered business entity operating in India
• Possess a valid GST Identification Number (GSTIN)
• Be authorized to make purchasing decisions on behalf of your organization
• Be at least 18 years of age

By placing an order, you represent and warrant that you meet all the above eligibility requirements.

We reserve the right to:

• Request documentation to verify your business credentials and GST registration
• Refuse service to any entity that does not meet our eligibility criteria
• Suspend or terminate your account if any information provided is found to be false, misleading, or outdated
• Decline orders at our sole discretion without providing a reason

Individual consumers and retail buyers are not eligible to purchase from us.

3. Product Information

4. Orders & Quotations

Placing an Order:

All orders can be placed through our Website, email, or phone. An order is considered a request to purchase and is subject to our acceptance.

Order Confirmation:

An order is confirmed only when we send you a written confirmation via email specifying the products, quantities, pricing, and estimated delivery timeline. We reserve the right to reject any order without assigning a reason.

Quotations:

Any quotation provided by us is valid for 15 days from the date of issue unless otherwise specified. Prices and availability mentioned in the quotation are subject to change if the order is not confirmed within the validity period.

Order Modifications:

Once an order is confirmed, modifications may not be possible. Please review your order carefully before confirmation. Requests for changes will be considered on a case-by-case basis but cannot be guaranteed.

5. Pricing & Taxes

Currency:

All prices are quoted in Indian Rupees (INR).

Taxes:

Prices displayed on our Website are exclusive of Goods and Services Tax (GST) unless explicitly stated otherwise. Applicable GST will be added to your invoice as per prevailing tax rates.

Price Changes:

We reserve the right to change prices at any time without prior notice. However, orders that have been confirmed in writing will be honored at the agreed price.

Errors:

In the event of a pricing error on our Website or in a quotation, we reserve the right to cancel the order and refund any amount paid. We will notify you promptly and provide the option to proceed at the correct price.

6. Payment Terms

Accepted Payment Methods:

We accept payments via:

• UPI (Unified Payments Interface)
• Online Bank Transfer (NEFT/RTGS/IMPS)

Payment details will be shared upon order confirmation.

Payment Terms:

• Full payment must be received before dispatch of goods unless otherwise agreed in writing
• For approved accounts, credit terms may be extended at our sole discretion
• All payments must be made in Indian Rupees (INR)

We do not accept:

• Cash on Delivery (COD)
• Credit/Debit card payments through online payment gateways
• Cheque payments (unless specifically agreed in writing)
• International payments or foreign currency

Delayed Payments:

In case of delayed payments beyond agreed terms, we reserve the right to:

• Withhold pending deliveries
• Charge interest on overdue amounts at 18% per annum
• Suspend your account until dues are cleared
• Take legal action to recover outstanding amounts

7. Delivery & Risk Transfer

Dispatch:

We aim to dispatch orders within the timeline communicated at the time of order confirmation. However, dispatch dates are estimates and not guaranteed.

Delivery:

Delivery timelines depend on your location and logistics partner availability. Exact timelines will be communicated upon dispatch. We are not responsible for delays caused by courier partners, customs, or other factors beyond our control.

Shipping Charges:

Shipping charges, if applicable, will be communicated at the time of order confirmation and added to your invoice.

Risk Transfer:

Risk of loss or damage to products passes to you once the goods are handed over to the logistics/courier partner for delivery. We recommend inspecting goods immediately upon receipt.

Inspection:

Please inspect all goods upon delivery and note any visible damage or discrepancy on the delivery receipt. Failure to do so may affect your ability to claim for damaged goods.

8. Order Cancellation

Cancellation by You:

• Orders can be cancelled before dispatch by contacting us via email or phone
• Once goods are dispatched, cancellation is not possible
• For custom or made-to-order products, cancellation is not permitted after order confirmation

Cancellation by Us:

We reserve the right to cancel any order for reasons including but not limited to:

• Product unavailability
• Pricing or description errors
• Suspected fraudulent activity
• Failure to verify business credentials
• Non-payment within agreed timelines

In case we cancel an order, any payment received will be refunded in full within 7-10 business days.

9. Returns

General Policy:

Due to the nature of B2B industrial products, we do not accept returns except in the following circumstances:

• Wrong Product: If we deliver a product different from what you ordered
• Damaged Product: If the product is damaged during transit

Conditions for Return:

• You must notify us within 48 hours of delivery with photographic/video evidence
• The product must be unused, uninstalled, and in its original packaging
• Return request must be approved by us before shipping the product back

Return Process:

Upon verification and approval, we will arrange for pickup or provide instructions for return shipping. Once we receive and inspect the returned product, we will process a replacement or refund at our discretion.

Non-Returnable Items:

• Products that have been used, installed, or altered
• Custom or made-to-order products
• Products returned without prior approval
• Products with missing parts, accessories, or original packaging

10. Warranty

Warranty Coverage:

All products sold by Qutbi Industrial Equipments come with a 1-year warranty against manufacturing defects from the date of delivery.

Important Condition:

Warranty claims must be raised BEFORE the product is put to use. Once a product has been used, installed, or operated, the warranty becomes void unless the defect could not have been reasonably detected before use.

How to Claim Warranty:

• Contact us via email or phone with your order details, invoice number, and description of the defect
• Provide photographs or videos clearly showing the manufacturing defect
• Our team will assess the claim and guide you through the process

Warranty Resolution:

Upon verification of a valid warranty claim, we will at our sole discretion:

• Repair the product
• Replace the product with the same or equivalent item
• Issue a credit note for future purchases

Warranty Exclusions:

This warranty does not cover:

• Damage due to misuse, negligence, or improper handling
• Normal wear and tear
• Damage caused by improper installation or operation
• Unauthorized modifications, alterations, or repairs
• Damage caused by accidents, power surges, or electrical fluctuations
• Damage due to natural disasters, fire, flood, or other external factors
• Consumable parts or items with limited lifespan
• Products used for purposes other than their intended industrial application

11. Limitation of Liability

To the maximum extent permitted by law:

• Qutbi Industrial Equipments shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our products
• We shall not be liable for any loss of profits, revenue, business, data, or goodwill
• We shall not be liable for any damages arising from delays, delivery failures, or product unavailability
• Our total liability for any claim shall not exceed the amount actually paid by you for the specific product giving rise to the claim

Industrial Use Disclaimer:

Our products are intended for industrial and commercial applications. Buyers are responsible for ensuring that products are suitable for their intended use. We do not guarantee fitness for any particular purpose unless expressly agreed in writing.

You agree that:

• You have the necessary expertise to select, install, and operate industrial products
• You will follow all manufacturer guidelines, safety instructions, and applicable regulations
• You will not use products in applications for which they are not designed

12. Indemnification

You agree to indemnify, defend, and hold harmless Qutbi Industrial Equipments, its owners, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of:

• Your breach of these Terms
• Your misuse of our products
• Your violation of any applicable laws or regulations
• Any third-party claims resulting from your use of our products
• False or misleading information provided by you

13. Intellectual Property

All content on our Website including but not limited to text, graphics, logos, images, product descriptions, and software is the property of Qutbi Industrial Equipments or its content suppliers and is protected by Indian and international intellectual property laws.

You may not:

• Copy, reproduce, or duplicate any content from our Website
• Use our trademarks, logos, or branding without written permission
• Modify, distribute, or create derivative works from our content
• Use our content for any commercial purpose without authorization

Limited License:

We grant you a limited, non-exclusive, non-transferable license to access and use our Website for legitimate business purposes related to purchasing our products.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to:

These Terms shall be governed by and construed in accordance with the laws of India.

Jurisdiction:

Any disputes arising out of or relating to these Terms or your use of our products shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

Dispute Resolution:

Before initiating any legal proceedings, we encourage you to contact us to resolve the matter amicably. Most concerns can be addressed through direct communication.

16. General Provisions

Entire Agreement:

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Qutbi Industrial Equipments regarding your use of our Website and services.

Severability:

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect.

Waiver:

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it at a later time.

Assignment:

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

No Partnership:
